These terms govern your use of Know A Guy (the "platform"), operated by [Know A Guy Ltd], a company registered in England and Wales, company number [##########], registered office [Registered address] ("we", "us"). By creating an account or using the platform you agree to these terms.
1.What Know A Guy is
Know A Guy is a neutral introductions platform. We help members post needs, find providers, and introduce people who already know each other to deals.
We are not a party to any deal. We do not provide the underlying service. We do not act as your agent, broker, employer, solicitor, accountant, financial adviser, or any other regulated professional. Members deal with each other directly.
2.Membership and vetting
To put your hand up, message, post, or accept introductions you need an approved account. The Know A Guy team runs a basic membership review (identity, public footprint, stated track record).
This review is a basic check, not a warranty. We do not certify calibre, qualifications, regulated status, fitness to act, or character. You must do your own due diligence before working with another member.
3.How deals happen
Deals happen between members. When someone posts a need, another member can put their hand up ("I can do this") or introduce someone ("I know a guy"). If both sides agree, a tracked deal is created on the platform.
The Deal & Fee Agreement (see /legal/agreement) sets the commercial terms between the two members. Both parties must accept it before contact details unlock.
4.Fees
There are two fees on every deal that runs through the platform:
- Intro fee. Set per need by the poster. Comes out of the deal. Paid by the poster to the connector (introducer or provider) on the agreed trigger. Know A Guy never pays the introducer.
- Platform fee. Separate from the intro fee, payable to Know A Guy by the poster (currently [X%] of the deal value or [£X], whichever applies, set out in your account).
Currency: GBP. Fees are exclusive of VAT unless stated. Example figures shown anywhere on the platform are illustrative, not a promise of income.
5.Honour-based commitment
The platform runs on goodwill. You commit to:
- Honour the agreed intro fee.
- Keep the deal on the platform until the trigger is met.
- Tell us promptly when a deal is agreed, won, or lost.
- Treat other members like grown-ups: act in good faith, no spam, no scams.
6.Anti-circumvention
For 12 months after an introduction is made through the platform, you may not deliberately route the deal (or any directly related follow-on deal) around Know A Guy to avoid the intro fee or platform fee. This includes engaging the introduced party through a side-channel, a related entity, or a third party set up for the purpose.
If we reasonably believe circumvention has happened, the full fees become due to the connector and to Know A Guy, and we may suspend or close the offending accounts.
7.Clawback
If a deal collapses, is unwound, or is reduced after fees have been paid, the paying party may claw back a proportional amount within [60 days], on notice and with evidence. You agree to refund your share promptly.
8.Refunds of the platform fee
You can request a refund of the platform fee within 14 days of payment if no introduction has yet been actioned on your account. After that, the platform fee is non-refundable except as required by law.
9.Limitation of liability
To the maximum extent allowed by law, Know A Guy is not liable for the conduct, performance, advice, work, or losses of any member; for deals that fall through; for indirect or consequential losses; or for loss of profit, revenue, goodwill, or opportunity.
Our total aggregate liability to you in any 12-month period is capped at the greater of (a) the platform fees you paid us in the prior 12 months, or (b) £100.
Nothing in these terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.
10.Indemnity
You agree to indemnify Know A Guy against losses, claims, and reasonable legal costs arising from: your breach of these terms; your conduct on or off the platform in connection with a deal; or your breach of any law, regulation, or third party right.
11.Suspension and termination
We can suspend or close any account for breach of these terms, suspected circumvention, abuse, or anything that puts other members at risk. You can close your account at any time from Account & data; the fee, clawback, and anti-circumvention clauses survive.
12.Changes to these terms
We can update these terms. Material changes are notified by email and in-app. Continued use after the change takes effect means you accept the new version.
13.Governing law
These terms and any dispute arising out of them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
